Microsoft Rewards “Prize Drop” Sweepstakes (The “Sweepstakes”) OFFICIAL RULES ("Official Rules")

This Sweepstakes is intended for viewing and participation in the fifty (50) United States, Washington D.C. and Puerto Rico, Canada, the United Kingdom, France, Germany, Ireland, Austria, Greece, Finland, Luxembourg, Spain, Switzerland, Norway, Mexico, Peru, Ecuador, Costa Rica, Guatemala, New Zealand, Japan, the Czech Republic, Romania and South Africa only. Please do not participate if you are (a) not a legal resident of, and not located in, one (1) of the jurisdictions above, and (b) at least the age of majority in your jurisdiction of residence at time of participation. VOID IN THE U.S. VIRGIN ISLANDS AND OTHER U.S. TERRITORIES AND POSSESSIONS, OUTSIDE OF THE JURISDICTIONS OUTLINED ABOVE, AND WHERE PROHIBITED BY APPLICABLE LAWS.

  1. SWEEPSTAKES PERIOD:

    Starts March 12, 2026 at 9:00:00 AM Pacific Time (“PT") and ends May 21, 2026 at 11:59:59 PM PT (the “Sweepstakes Period").

  2. ELIGIBILITY:

    To enter and be eligible for a chance to win a prize, you must (a) be a legal resident of the fifty (50) United States, Washington, D.C. or Puerto Rico (excluding residents of the U.S. Virgin Islands and other U.S. territories and possessions), Canada, the United Kingdom, France, Germany, Ireland, Austria, Greece, Finland, Luxembourg, Spain, Switzerland, Norway, Mexico, Peru, Ecuador, Costa Rica, Guatemala, New Zealand, Japan, the Czech Republic, Romania or South Africa (each a “Jurisdiction"), (b) have reached at least the age of majority in your Jurisdiction, (c) have an active mobile phone number and email address, and (d) be a member of the free of charge Microsoft Rewards Program (the “Program") at the time of your entry into the Sweepstakes and at the time you are awarded any prize, if any, through the Sweepstakes. Membership in the Program is subject to the Microsoft Services Agreement (including the “Rewards" section) available at https://go.microsoft.com/fwlink/?LinkID=530144. Persons in any of the following categories are NOT eligible to participate or win a prize: (a) any person who, at any time on or after March 12, 2026, was or is a director, officer, agent, representative, or employee of Microsoft Corporation (“Sponsor") or its parent, affiliates, subsidiaries, agents, consultants or service agencies, who is directly involved in the planning or execution of the Sweepstakes; (b) any other individuals engaged in the development, production or distribution of materials for the Sweepstakes or engaged in the administration or execution of this Sweepstakes (collectively, with the entities listed in 2(a), the “Sweepstakes Entities"); (c) persons who are or purport to be immediate family members (defined as biological or step-parent, sibling, child, dependent, domestic partner or spouse of any of the foregoing) of any person in any of the preceding categories, regardless of where they live, or who reside in the same household as any person in any of the preceding categories; and (d) persons who Sponsor is prohibited from allowing to participate in the Program under Applicable Law (as defined in Rule #11 below). The Sweepstakes is subject to all applicable federal, state, provincial/territorial, county, and local laws and regulations. The Sweepstakes is void outside of the eligible Jurisdictions above and where prohibited by Applicable Law.

  3. HOW TO ENTER (ACTIVITIES/POINT REDEMPTION):

    SEE RULE #4 FOR MAIL-in (NO PURCHASE NECESSARY)* ENTRY DETAILS: When you log into Microsoft Rewards using your Microsoft Account or create a new Microsoft Account free of charge (“Account"), and complete the registration for the “Microsoft Rewards Giveaway Instant Win" promotion ** at the landing page at https://aka.ms/win-Promo (the “Website"), you will also receive one (1) entry into the draw for this Sweepstakes (“Sweepstakes Draw") (see Rule #5 for Draw details).

    When you participate in the “Microsoft Rewards Giveaway Instant Win" promotion by searching with Bing as your default internet search engine, you will also receive one (1) entry per Day (defined below) into the Sweepstakes Draw for each Day you complete eligible search(es) during the Sweepstakes Period.

    For terms governing your use of Microsoft services such as Bing in connection with this Sweepstakes, please refer to the “Microsoft-Terms of Use".

    For the purposes of these Official Rules, a “Day" begins at 12:00:00 AM PT and ends 11:59:59 PM PT, except for the first Day of the Sweepstakes which starts at 9:00:00 AM PT.

When you click to register at the Website, or enter via another available method of entry, you will be presented with a registration form (once completed, your “Registration"): you must provide your true legal first and last name, mailing address, working mobile phone number, and email address, as well as confirming that you have read and accept the Official Rules.

    Verification: We may require you to verify your registration form using a secondary method such as a code sent via SMS to your mobile phone to enter on the form.

    Please ensure that your full legal name is entered in your Microsoft Account prior to participating in order to be eligible for a chance to win a prize. Failure to do so may lead to disqualification.

    All methods of entry:

    You must have completed your initial (one-time) Registration (as defined above) before the applicable Sweepstakes Draw date and time (listed below) in order for your entries to be eligible for the Sweepstakes Draw.

    Limit: total maximum of 480 entries per person/Account/email address/mobile phone number during the Sweepstakes Period, regardless of method of entry and/or quantity of additional entry opportunities completed.

    Multiple entrants are not permitted to share the same email address or Account. Any attempt by any entrant to use multiple/different email addresses, identities, registrations and logins, Accounts, or any other methods in an attempt to defraud the entry process or gain additional entries will void that entrant's entries and entrant may be disqualified. Use of any automated system to participate, as determined by Sponsor in Sponsor’s sole discretion, is prohibited and will result in disqualification. In the event of disqualification, any prize that entrant might have been otherwise entitled to will not be awarded.

    In the event of a dispute regarding the identity of an entrant, the entry will be deemed to have been made by the authorized account holder of the email address submitted with the Program registration. Authorized account holder is defined as the natural person who is assigned to an email address by an internet access or online service provider, or other organization responsible for assigning email addresses for the domain associated with the registered email address. Each entrant may be required to show proof of being an authorized account holder. If you do not have internet access via a personal computer, your local library or internet café may be able to provide access to the internet and a number of internet service providers and other companies offer free email accounts.

    If you enter using this alternative method of entry, you will receive ten (10) entries into the Sweepstakes Draw for each request submitted via this method. Mailing costs are borne by the entrant. Requests must be postmarked by May 21, 2026 and received no later than May 29, 2026 to be considered.

    Multiple entry requests may be made by mail, subject to the entry limitations stated above in Rule #3, but only one (1) request per outer postmarked envelope allowed. Entries mechanically reproduced or made in any fashion other than as specified herein, as determined by Sponsor in Sponsor’s sole discretion, are void.

    Entries submitted by script, macro or other automated or mechanical means, entries by any means which subvert the entry process, and entries that are illegible or made in any fashion other than as specified herein, as determined by Sponsor in Sponsor’s sole discretion, are void. All entries become property of the Sponsor and will not be returned.

  5. RANDOM SWEEPSTAKES DRAW:

    At 12:00 PM PT on June 4, 2026, an independent judging organization (the “Sweepstakes Judges") will randomly draw one (1) entry for the Sweepstakes Grand Prize (as described in Rule #6(a), below) and three (3) entries for the Sweepstakes First Prizes (as described in Rule #6(b), below) from among all eligible entries received via all methods of entry for all of the participating Jurisdictions (each a “Potential Winner" and, if verified, “Prize Winner"). The odds of winning a Sweepstakes Prize depend on the total number of eligible entries received from all Jurisdictions during the Sweepstakes Period. Potential Winners will be subject to verification of eligibility and compliance with these Official Rules.

  6. SWEEPSTAKES PRIZES (4): The following Prizes are available to be won in the Sweepstakes:

    • Grand Prize (1 available): One (1) prize of $1,000,000.00 USD (One Million Dollars) in cash, awarded via wire transfer to a qualified bank account in the Prize Winner’s name that permits and accepts international wire transfers.

      Approximate Retail Value (“ARV”) of the Grand Prize: $1,000,000.00 USD (equivalent to approximately*** $1,380,000.00 CAD / £740,000.00 GBP / €860,000.00 EUR / Fr. 800,000.00 CHF / kr 10,080,000.00 NOK / $17,970,000.00 MXN / S/ 3,360,000.00 PEN / ₡497,390,000.00 CRC / Q7,670,000.00 GTQ / $1,730,000.00 NZD / ¥156,650,000.00 JPY / ₱59,300,000.00 PHP / Kč 20,770,000.00 CZK / lei 4,350,000.00 RON / R 16,450,000.00 ZAR).

      For clarity, the prize will be awarded in US dollars, regardless of the Jurisdiction of residence of the Prize Winner.

    • First Prizes (3 available): Each First Prize Winner will receive:

      A spending budget of $170,000.00 USD (“Spending Budget”) to be used towards a Mercedes-Benz vehicle to be selected by the First Prize Winner that is available at an authorized Mercedes-Benz dealership in the First Prize Winner’s jurisdiction (the “Vehicle”). The cost of the Vehicle selected must exceed at least $100,000 USD, inclusive of trim level and optional original equipment manufacturer (“OEM") accessories. Any remaining balance of the spending budget after Vehicle cost, and following the deduction of all related costs and expenses as described below that have not already been deducted, will be paid to the First Prize Winner either as a check, as prepaid cards, or via wire transfer to a qualified bank account in the First Prize Winner’s name that permits and accepts international wire transfers, in the Sponsor’s sole and absolution discretion, such payment not to exceed $30,000.00 USD.

      Any non-OEM upgrades and options to the Vehicle’s standard equipment are at the sole expense of the First Prize Winner and will be deducted from the Spending Budget. Model, package, factory options, and other Vehicle specifics are subject to availability. Color may be selected from the options available for the applicable Mercedes-Benz vehicle model. Other than the manufacturer’s limited warranty, Sponsor does not make, nor in any manner is responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the Vehicle including but not limited to its quality, fitness for purpose or mechanical condition. Any dealer’s warranties beyond the manufacturer’s limited warranty shall be responsibility of the First Prize Winner to obtain. First Prize Winner must (a) have proof of a valid driver’s license within their jurisdiction as well as insurance to take delivery of vehicle; and (b) work with the designated Microsoft contact to handle insurance, vehicle registration and any other issues needed to take possession of the Vehicle in the First Prize Winner’s Jurisdiction. Failure to do so may result in prize forfeiture and selection of an alternate winner. First Prize Winner will be responsible for all optional equipment, title, license, insurance and registration fees required in claiming the Vehicle, applicable taxes, as well as all other expenses relating to the receipt and use of the Vehicle, including any travel and transportation costs associated with collecting the Vehicle. All other costs not specifically stated herein as being awarded are the responsibility of the First Prize Winner.

      At time of award of Vehicle, First Prize Winner will assume full ownership and responsibility for the Vehicle. First Prize Winner will be provided instructions to obtain the Vehicle at an authorized Mercedes-Benz dealership to be determined by Sponsor. First Prize Winner must take delivery of vehicle within thirty (30) days of notification that the designated dealership has received the Vehicle, or the prize may be forfeited. As a model year progresses, changes may occur in some of the specifications, features, optional equipment and pricing. The manufacturer reserves the right to make such changes. Optional equipment may vary by jurisdiction and region. Delivery of the Vehicle to the dealership is subject to manufacturer, distributor and dealer manufacturing, production and delivery schedules.

      Note: First Prize Winners in a jurisdiction subject to mandatory 30% tax withholding as described below will instead receive a spending budget of $119,000.00 USD, following deduction of the taxes.

      ***All currency conversions are based on exchange rates from US dollars as of January 5, 2026. Prize valuations other than US dollars are for convenience only. Actual ARVs may vary based on exchange rates at the time the prize is fulfilled. Prize Winner is not entitled to any difference between the ARV and the actual value of a prize at the time the prize is awarded.

      Any difference between the stated ARV and the actual value of any prize will not be awarded. The Prizes are not transferable and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion.

      All federal, state, provincial, county and local taxes (including income and withholding taxes), if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the Winner’s responsibility, regardless of whether the prize is used in whole or in part. All prize details are at the Sponsor’s sole discretion. Prize Winner will be required to complete and return prize claim and/or tax forms such as an IRS Form W-9 or W-8BEN within the deadline stated in the winner notification. With respect to the Sponsor’s withholding obligations, the United States requires a 30% gross basis withholding tax on any prize awarded to a resident of Canada, Greece, Mexico, Costa Rica, Ecuador, Guatemala, Peru, Romania, New Zealand, or Norway. A Prize Winner resident in France, Germany, Spain, Austria, Ireland, Finland, Luxembourg, Switzerland, the United Kingdom, the Czech Republic, Japan, or South Africa, may be eligible for a 0% withholding rate under the income tax treaty between those countries and the United States. Any Prize Winner resident in those countries should consult their tax advisor to confirm eligibility. If eligible, a proper treaty claim on the Form W-8BEN must be provided prior to any prize award. Prize Winners are advised to seek independent tax counsel regarding the implications of accepting a prize.

  7. HOW TO CLAIM YOUR PRIZE:

    Potential Winner will be contacted by phone, email and/or mail at the address, email, or telephone number provided with the entry, with instructions on how to claim their prize. For clarity, Sponsor (or its agent) may utilize only one (1) of the foregoing methods of contact, or more than one (1) method, in its sole discretion. Potential Winner will be required to execute and return a W8-BEN form in addition to a Declaration of Eligibility, a Liability Release, and, where lawful, a publicity release (each such document being a restatement and confirmation of certain aspects of these Official Rules) prior to being awarded a prize; except that a Potential Winner who is an eligible resident of the United States, the District of Columbia or Puerto Rico will instead be required to execute and return a W9 form in addition to an Affidavit of Eligibility, a Liability Release, and, where lawful, a publicity release. In the event the Potential Winner is an eligible resident of Canada or Mexico, they must also first correctly answer, unaided, a mathematical skill-testing question to be administered online, or through another means selected by the Sponsor. Documents must be executed and returned within seven (7) calendar days from the time they are received by the Potential Winner, or the applicable prize may be forfeited. If the Potential Winner is determined by Sponsor, in Sponsor’s sole discretion, to be ineligible or not in compliance with these Official Rules, declines to accept a prize, or Sponsor is unable to contact the Potential Winner within three (3) calendar days, or in the event that a prize notification or prize is returned undeliverable, the prize may be forfeited at the Sponsor’s sole discretion. Potential Winner may be required to furnish proof of identification acceptable to the Sponsor.

    Awarding of Grand Prize & First Prize Balances: The Grand Prize and any prize value balances available to First Prize winners may be awarded in a one lump sum wire transfer payment, to a qualified bank account in the Prize Winner’s name that permits and accepts international wire transfers. The qualified bank account must be made available to Sponsor within forty-five (45) days of prize acceptance. The Prize Winner may not be able to make a withdrawal of any kind for up to ten (10) business days following completion of wire transfer, and may be longer subject to the Prize Winner’s qualified bank account policy. Qualified bank account maintenance, currency conversion and withdrawals fee(s) may apply. Currency conversions and withdrawals may be taxed and an additional penalty may apply. The Prize Winner should check with a tax advisor for additional information. If the Prize Winner does not already have a qualified bank account in the Prize Winner’s name that permits and accepts international wire transfers at time of prize acceptance, the Prize Winner will be required to open an eligible account and share the applicable account information with Sponsor within forty-five (45) days from date of prize acceptance. Failure to open (or make available) the eligible account within the specified timeframe may result in forfeiture of the prize and Sponsor will have no further obligation to the Prize Winner. The Prize Winner is responsible for providing formal documentation and instructions to Sponsor for the purpose of awarding the Prize, in a form satisfactory to Sponsor, including valid, accurate and correct bank account details and the Sponsor/Administrator will not be liable for any prize payment made into the wrong bank account or if incorrect banking information is provided.

    To the extent permitted by Applicable Law, the Sponsor may conduct publicity surrounding the Sweepstakes and potential winners. Therefore, Sponsor reserves the right to conduct a confidential background/criminal check, to the extent permitted by Applicable Law, to confirm a potential winner’s eligibility and compliance with these rules and to review potential winner’s social media accounts or other public facing communications or actions. By entering, you agree to cooperate reasonably with any such background check. If a background check reveals that a potential winner has engaged in any conduct that could damage or negatively affect the reputation or business of Microsoft or the Sweepstakes Entities, as determined by Microsoft in its sole discretion, the potential winner may be disqualified, and the prize may be awarded to an alternate entrant, following the process set out in the preceding rules. Any information obtained pursuant to this background check will be collected, used and/or disclosed in accordance with the Microsoft Privacy Statement. By entering into the Sweepstakes, you hereby consent to the collection of your data for the background checks as described above in accordance with our Privacy Statement. You agree to provide any further specific consent that Sponsor may reasonably request in this regard. The Sweepstakes Entities shall not be held responsible for any delays in awarding the prize for any reason outside of their control. The prize will only be delivered to a verified Winner. Any unclaimed prize will not be awarded. The Sweepstakes Entities are not responsible for any change of mailing address, email address, and/or telephone number of entrants.

    To the extent permitted by Applicable Law, by accepting the prize, each Prize Winner agrees to grant to the Sponsor the right to use his/her name, address (city and state/province/territory/county/district of residence), voice, and statements relating to the Sweepstakes or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sponsor or any related entities in any and all media now known or hereinafter developed, including the internet, without territorial or time limitation, except where prohibited by Applicable Law.

  8. CONDITIONS OF ENTRY: By entering, entrants (i) acknowledge and represent that they are in full compliance with these Official Rules including all eligibility requirements and, (ii) agree to be bound by these Official Rules and the decisions of the Sponsor and/or Sweepstakes Judges, made in their sole discretion, which shall be final and binding in all respects. Entrants who have not complied with these Official Rules are subject to disqualification and all associated entries will be void.

  9. Sponsor reserves the right to disqualify any entrant's registration in the Sweepstakes (and void all associated entries) or entitlement to a prize if, in the sole discretion of the Sponsor, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Sweepstakes by tampering, cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any entries or points generated by script, macro, robotic, programmed, or any other automated means or any other means which subvert the entry process).

  10. CHOICE OF LAW AND JURISDICTION: All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes Official Rules, or the rights and obligations of participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the Applicable Laws of the participant’s Jurisdiction of residence, without regard to any other conflicts of law principles. All participants consent to the jurisdiction and venue of the federal, county, territorial, provincial, district, state, and/or local courts of the participant’s Jurisdiction of residence (as applicable).

    Participants resident in certain jurisdictions may have the right to refer to local consumer protection bodies including, but not limited to (for participants residing in Finland) the Consumer Disputes Board (www.kuluttajariita.fi), or (for participants residing in Peru) the Consumer Protection Commission of INDECOPI.

    Microsoft agrees to ensure that all personal data collected during the course of the Sweepstakes including, name, mailing address, mobile phone number, and email address, or other information required to confirm a potential prize win (collected with the potential winner’s consent), will only be used for the purpose of administering the Sweepstakes and the collection of such data complies with (i) all applicable laws, including without limitation, all state, provincial/territorial and federal laws, corporate standards, policies, regulations, as well as the General Data Protection Regulation (“GDPR") (collectively “Applicable Laws") (ii) the principles, guidelines, rules and codes of conduct of self-regulatory organizations such as the Digital Advertising Alliance, the Interactive Advertising Bureau, the Direct Marketing Association, and other self-regulatory organizations to which third parties providing services, platforms, and data are bound, and any required notices and consents; and (iii) privacy disclosures and information collection requirements imposed on advertisers by targeting of media in order to comply with Applicable Laws. To the extent permitted by Applicable Law, your information may also be transferred to countries outside of your jurisdiction of residence, including the United States. Such other countries may not have privacy laws and regulations that provide the same level of protection to those that exist in your jurisdiction. By providing any data in connection with the Sweepstakes, participants hereby expressly consent to such transfers of your data to the United States or other countries. Any attempt by an individual to access any website associated with the Sweepstakes via a bot script or other brute force attack or any other unauthorized means will result in that individual’s IP address and all entries from that IP address becoming ineligible. Without limiting the generality of the foregoing, to the extent permissible by Applicable Law, each entrant agrees to release and hold harmless the Sweepstakes Entities from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property related cause of action that relate in any way to the entry.

    Applies to entrants residing in Germany and Greece only: Notwithstanding anything elsewhere in these Official Rules, the following regulations apply to German and Greek entrants:

    • Sponsor and Released Parties shall be fully liable for intent and gross negligence as well as for damages caused by injury to life, body or health.
    • In an event of property and financial losses caused by slight negligence, Sponsor and Released Parties shall be liable only for breaches of a material contractual obligation (cardinal duty). A “cardinal duty” in the meaning of this provision is an obligation that need to be fulfilled to permit proper execution of these Official Rules and that may regularly be relied upon by the entrant.
    • Liability in accordance with the above Clause (ii) shall be limited to the typical, foreseeable damages.
    • The limitation of liability shall apply mutatis mutandis to the benefit of the employees, agents and vicarious agents of Sponsor and Released Parties.
    • Any potential liability on the part of Sponsor or Released Parties for any guarantees and for claims based on the German Product Liability Act or article 6 of Greek Law 2251/1994 on Producer’s liability shall not be affected.

  13. To the extent permissible by Applicable Laws, Sponsor reserves the right in its sole discretion to cancel, modify and/or suspend this Sweepstakes at any time if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes (such as force majeure events) impairs the administration, security, integrity or proper play of the Sweepstakes. In the event of cancellation, Sponsor reserves the right in its sole discretion, to randomly select the Prize Winner from among all eligible, non-suspect entries received up to time of such cancellation. In no event will the Sponsor be liable for more than the stated number of prizes in these Official Rules.

  14. The Sweepstakes Entities do not warrant that access to the Sweepstakes will be uninterrupted. To the extent permissible by Applicable Law, the Sweepstakes Entities are not responsible for any problems that may arise, including but not limited to: (a) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connection, availability or accessibility problems arising in connection with or over the course of the Sweepstakes; or (b) communications failed, jumbled, scrambled, delayed, or misdirected, or computer, telephone or cable transmissions or hardware or software malfunctions, failures or difficulties; or (c) failure of personal computers or mobile devices and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in connection with the administration of the Sweepstakes, the processing of points or entries, or the offering or announcement of any prize or in any winner notification documents; or (d) for any other errors of any kind relating to or in connection with the Sweepstakes, whether human, mechanical, clerical, electronic, or technical in nature; or (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Sweepstakes; or (f) damage to a user's system occasioned by participation in this Sweepstakes or downloading any information necessary to participate in this Sweepstakes. The Sweepstakes Entities are also not responsible for lost, late, delayed, garbled, stolen, incomplete, misdirected, illegible, damaged or undelivered mail, email, or entries. Proof of transmission (screenshots, etc.) does not constitute proof of delivery.

DISCLOSURES:

Any attempt by an entrant or other individual, to deliberately damage any website or undermine the legitimate operation of this Sweepstakes, including but not limited to any fraudulent claims, may be a violation of criminal and civil laws. Where these Official Rules provide for discretion exercisable by a Sweepstakes Entity (to the extent permissible by Applicable Law) that could otherwise be capable of causing a significant imbalance in the parties’ rights and obligation hereunder, to the detriment of a consumer and contrary to the requirement of good faith, shall be exercised reasonably and in good faith.

In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in Sweepstakes Materials (including but not limited to point of sale, television, and print advertising, promotional packaging, and other promotion media), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

  4. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor's employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever.
